Singapore Company Incorporation: Requirements & Process for Foreigners

Foreigners can own 100% of a Singapore company and incorporate remotely. Here are the basics for a private limited company (Pte. Ltd.).

Requirements

• At least 1 shareholder (individual or corporate, foreigners allowed)
• At least 1 locally resident director; foreign investors may appoint a nominee director
• A company secretary within 6 months of incorporation
• A local registered address
• Minimum paid-up capital of S$1

Process

1. Name search
2. Prepare particulars and constitution
3. File with ACRA
4. Receive the BizFile profile and UEN
5. Open a bank account
6. Apply for GST, licences or work passes as needed
