What Annual Compliance Does a Singapore Company Need?

Beyond running the business, a Singapore company must complete several statutory filings every year. Here are the most common annual obligations for a private limited company:
1. Prepare annual financial statements
Financial statements must be prepared under the Singapore Financial Reporting Standards (SFRS). Companies that do not qualify for audit exemption must also be audited.
2. Hold the Annual General Meeting (AGM)
A private company generally holds its AGM within 6 months after its financial year end. Some companies may dispense with the AGM if financial statements are sent to members within the required period.
3. File the Annual Return with ACRA
Generally due within 7 months after the financial year end. Companies that file financial statements usually do so in XBRL format.
4. File corporate income tax with IRAS
This includes the Estimated Chargeable Income (ECI) within 3 months after the financial year end (unless exempt), and Form C-S / C by 30 November each year.
5. GST returns (if registered)
GST-registered companies generally file returns quarterly.
Late filing may lead to penalties or legal consequences. Working with a professional company secretary and accounting team helps you keep track of every deadline.
